1. Definitions In these Terms and Conditions, the following definitions shall apply: 

  • "M and W Electrical Ltd" refers to the electrical company. 
  • "Client" refers to the party entering into an agreement for services with M and W Electrical Ltd. 
  • "Services" refers to electrical installation, maintenance, or any other related service provided by M and W Electrical Ltd. 
  • "Contract" refers to the agreement between M & W Electrical Ltd and the Client for the provision of Services. 

2. Quotations/Prices

2.1. Quotations provided by M& W Electrical Ltd are valid for a period of 30 days from the date of issue. 

2.2. Prices for Services shall be as stated in the quotation and are subject to change upon mutual agreement between M & W Electrical Ltd and the Client. 

2.3. Orders are not binding until we accept them. 

2.4. We assume work is feasible when estimating, but we'll inform you if it's not and may suggest alternatives. 

2.5. If you don't order within 60days, you'll cover any cost changes for materials and labour. 

2.6 If you delay delivery or performance, you'll pay extra costs. 

2.7. You'll be billed for all work at your request, including overtime if needed. 

2.7. Additional charges may be applied if items/works/materials are required that were outside of the original scope of works set out in the contract.

3. Work on Site 

3.1. M & W Electrical Ltd shall carry out the Services with due care and in accordance with industry standards. 

3.2. The Client shall provide access to the site and any necessary information or permits required for the execution of the Services. 

3.3. M & W Electrical Ltd will require safe passage onto site whether it may be a construction site, or residential property.

 

4. Payment 

4.1. Payment terms and methods areas specified in the contract or quotation. Invoice payments are due within 7days of invoicing.   

4.2. Invoices shall be issued by M& W Electrical Ltd and are payable by the Client in accordance with the agreed terms. 

4.3. Materials remain the property of M & W Electrical Ltd until final account has been settled. Note, Certificate will be issued on final payment.  

5. Specifications 

5.1. Specifications for the Services shall be outlined in the contract or quotation and based upon the requirements provided by the customer. We will not be liable for any incorrect works a result of carrying out the services provided to us by the design specifications. 

5.2. Any changes or additional work shall be agreed upon in writing by both parties. 

6. Warranty 

6.1. M & W Electrical Ltd provides a warranty for its Services as specified in the contract or quotation. 

6.2. We shall exercise due care for the protection of the customer's equipment and shall indemnify for any loss or damage attributed to our failure in due care, with liability restricted to the equipment's replacement value. 

6.3. We undertake to execute the work with due skill and employ materials of appropriate quality, devoid of defects. 

6.4. In the absence of any contrary agreement, we commit to rectify any defective work or materials reported in writing following the work's completion, with liability confined to the invoice value, as mandated by applicable law.  

6.5. The responsibility for the reinstallation, examination, and testing of the Equipment we have serviced rests with you. We shall not be held liable for any associated damage, costs, or losses arising from any delay, improper reinstallation, or failure to promptly notify us of defects. 

7. Transportation 

7.1. If transportation of equipment or materials is necessary, it shall be arranged as per the contractor quotation. 

7.2. We shall not be held responsible for the loss of any materials that are damaged during transit.  

8. Termination of Contract 

8.1. We have the right to terminate this contract if you breach your obligations. Immediate termination is possible in the case of a bankruptcy, insolvency, creditor arrangements, receiver appointment, or partnership dissolution. 

8.2. Upon contract termination, we can retrieve our equipment. You are still liable for unpaid amounts, work done until termination, and any other Contract breaches. 

9. Limitation of Liability 

9.1. M and W Electrical Ltd liability is limited to the value of the Services provided. 

10. Force Majeure 

10.1. Neither party shall be held liable for any delay or failure in the performance of their obligations due to events beyond their control. 

11. Disputes 

11.1. Any disputes arising from this contract shall be resolved through arbitration or mediation in accordance with UK law. 

12. VAT

12.1. VAT will be charged at the applicable rate on all taxable supplies of goods and services. 

13. Notices 

13.1. Any notices required under this contract shall be provided in writing (email or post) and sent to the respective parties' addresses as specified in the contract. 

14. Waiver 

14.1. A waiver of any provision in this contract shall not constitute a waiver of any other provision or future rights. 

15. Whole Agreement 

15.1. This contract represents the entire agreement between M & W Electrical Ltd and the Client and supersedes any prior agreements or understandings. 

16. Validity 

16.1. If any provision of this contract is found to be invalid or unenforceable, it shall not affect the validity of the remaining provisions. 

17. Law 

17.1. This contract shall be governed by and construed in accordance with the laws of the United Kingdom. By accepting the Services provided by M and W Electrical Ltd, the Client agrees to be bound by these Terms and Conditions.
